Corporate and commercial lawyers for growing companies in Malaga
We advise companies, shareholders and directors on the decisions that change their structure: bringing in a partner, a corporate restructuring, setting up a holding company, a mergers and acquisitions (M&A) transaction, a family handover, or needing a trusted lawyer on an ongoing basis.
- Over 17 years’ experience
- A personal, direct approach
- Rigour and risk anticipation
For your company to keep growing, its structure has to grow with it
We are a corporate and commercial law firm based in Coín, serving businesses across Malaga, the Guadalhorce Valley and the Costa del Sol, and we also handle matters nationwide. All documents can be provided in Spanish and in English, and we can also arrange for you to be assisted in English.
Many companies still run on the legal form they started with: one company, standard articles of association and shareholders who never wrote down what would happen if something changed. While all is well, nobody notices. When an investor arrives, a shareholder wants out, the time comes to hand over, or someone makes an offer for the business, that structure falls short. And sometimes the problem has already appeared: a deadlock between shareholders, debt weighing on the business or assets exposed to the risks of trading.
Our work is the corporate architecture of the business: designing its structure when the company is set up and restructuring it once it exists, so that it supports the business at every stage. To build it we use the tools of company law: holding companies, mergers and acquisitions, demergers, share-for-share exchanges and contributions in kind, capital increases and reductions and shareholders’ agreements.

We turn corporate law into an active tool for profitability, legal certainty and risk anticipation, so that you can take decisions under executive pressure backed by a solid structure.
Where is your company right now?

We are bringing in a new shareholder
Before they join, their rights, obligations and what happens if they leave should be agreed in a shareholders’ agreement.

We need to restructure the company to keep growing
Separating activities, combining companies through a merger or ring-fencing property in a holding company is a corporate restructuring.

We want to sell or buy a company
Buying or selling shares, a merger or an acquisition is prepared as a business acquisition and M&A transaction.

We need ongoing legal support
A firm that acts as your outsourced legal department: external legal counsel on a retainer.

We are a law firm and need a company law specialist
We handle the company law side of other firms’ matters, with confidentiality and professional loyalty: the client remains theirs. This is how our co-counsel for other law firms works.

Frequently asked questions
What does a corporate lawyer do in Spain?
A corporate lawyer advises companies, shareholders and directors on everything that affects the company and its business: incorporation and articles of association, relations between shareholders, how the general meeting and the board work, transactions such as mergers, sales or new investors, contracts with customers and suppliers, and financial difficulties. The aim is for business decisions to be made with legal certainty.
What is the difference between a lawyer and a gestoría?
In Spain, a gestoría handles bookkeeping, taxes and administrative formalities, and can set up a company. A corporate lawyer analyses the company’s structure and designs what shapes its future: a holding company, a merger, a share-for-share exchange, a contribution in kind or the rules between shareholders, and is responsible for the legal risks of each decision. The two roles complement each other, and we coordinate with your gestoría.
How much does a corporate lawyer charge?
It depends on the matter: reviewing a contract is very different from preparing a sale or a family protocol. Once we have studied the documents, we send you the quote and the letter of engagement in writing. For companies with frequent questions, we offer a monthly retainer with predictable costs.
Do you work in English?
All documents can be provided in Spanish and in English, and we can arrange for you to be assisted in English. If you need this, please say so when you contact us. Deeds before a Spanish notary are executed in Spanish.
Do you work outside the province of Malaga?
Yes. Although our office is in Coín, some matters and formalities can be handled nationwide, and we work with law firms and advisers in other provinces. We look at each case.
Do you work with other law firms?
Yes. Many law firms instruct us on the company law side of their matters: structures, holding companies, mergers, acquisitions or shareholders’ agreements. We work with confidentiality and professional loyalty, and the client remains the client of the firm that instructs us.
