Company lawyer for businesses and investors in Marbella and the Costa del Sol

On the Costa del Sol it is common for business owners and families from many countries to set up companies, buy businesses or invest in tourism, services and real estate, often through structures that combine Spanish and foreign companies. If you are looking for a lawyer in Marbella or elsewhere on the Costa del Sol for a company or commercial matter, we help make sure those transactions are structured properly from the start.

Please note that this page covers company and commercial matters, which are the focus of our firm; we do not handle residential property purchases. We work from our office in Coín, without an office on the coast: meetings take place by video call, at our office or, if necessary, at the client’s premises, and signings are arranged with whichever notary is most convenient.

What we do on the Costa del Sol

  • Foreign investment in Spanish companies: structure, declarations and, where applicable, prior authorisation. See foreign investment.
  • Business sales and M&A: due diligence, share purchase agreement (SPA), warranty and deferred-payment mechanisms, mergers and acquisitions. See business sales and M&A.
  • Holding companies and group structures to organise investments, property and businesses: holding companies.
  • Relations between shareholders of different nationalities: shareholders’ agreements, often in a bilingual version.
  • Governance and management of companies with non-resident shareholders or directors: corporate governance.

Why a Coín firm for the Costa del Sol

  • Specialisation. We focus on company and commercial law, with particular emphasis on corporate architecture, holding companies and M&A transactions, rather than every area at once.
  • Direct contact with the lawyer handling your matter, without intermediaries and always backed by the rest of the firm’s team.
  • Spanish and English. All documents can be provided in Spanish and in English, and we can arrange for you to be assisted in English. We prepare bilingual private documents where useful. Spanish lawyers are abogados: if you are used to the term “solicitor”, this is the professional you need for Spanish company matters.
  • Coordination with your tax and banking advisers, in Spain and in your home country.
  • Co-counsel for other law firms on the coast that instruct us on the company law side of their matters, as we explain on our page on co-counsel for other law firms.

How we work

  1. Initial contact. By phone or video call, you tell us about your situation and send us the documents.
  2. Review of the documents and proposals. We review the documents and set out the possible routes, starting with the simplest one that achieves the goal.
  3. Quote and letter of engagement. We send you the quote, with an estimate of all likely expenses, and the letter of engagement in writing.
  4. Implementation and follow-up. Face-to-face meetings only when they add something. We coordinate with your tax adviser or accountants (gestoría), the banks, the notaries and the registries: the Commercial Register and the Land Registry.

Frequently asked questions

Do I need a Spanish company to invest on the Costa del Sol?

Not always, but it is usually the most practical option when you will be running a business in Spain. A Spanish private limited company (SL) keeps the business separate from your personal assets and makes dealing with banks, suppliers and public authorities easier. Investing through a foreign company instead is assessed case by case with your tax adviser.

Can my foreign company own a Spanish company?

Yes. A foreign company can set up a Spanish company or acquire shares in one. It will need to prove its existence and the authority of whoever signs, usually with apostilled and translated documents, and the investment must be checked to see whether it has to be declared or needs prior authorisation.

Do you handle property purchases?

No. We are a company and commercial law firm. We deal with companies, business investments, buying and selling businesses and relations between shareholders, not with the purchase of private homes.
