Our approach: corporate architecture
We turn corporate law into an active tool for profitability, legal certainty and risk anticipation, so that our clients can take decisions under executive pressure backed by a solid structure. Most shareholder disputes that reach a law firm could have been anticipated: a partner leaving without anything agreed, a family handover with no rules, a sale that becomes complicated because the company was not in order. That is why much of our work goes into designing structures, agreements and governance rules before they are needed.
Any gestoría (accountancy and administrative firm) can set up a company, as can business owners themselves before a notary. What sets us apart is analysing the company’s structure and designing the transactions that change it: corporate structuring and restructuring, holding companies, mergers and acquisitions (M&A), share-for-share exchanges, contributions in kind and capital increases and reductions. We do not compete with the gestoría: we coordinate with it.
We do not sell fixed packages. We study each company’s documents and propose, with a quote and a letter of engagement, only what it needs.
How we work
- Initial contact. You tell us about your situation and send us the documents.
- Review of the documents and proposals. We review the documents and set out the possible routes, starting with the simplest one that achieves the goal.
- Quote and letter of engagement. Always in writing and before we start.
- Implementation and follow-up. We see the matter through to the end and coordinate with your tax adviser or accountants (gestoría), the notaries and the registries: the Commercial Register and the Land Registry.
You speak directly to the lawyer handling your matter, not to an intermediary. All documents can be provided in Spanish and in English, and we can arrange for you to be assisted in English.
Our team
Sara González Domínguez. Head of the firm. A practising lawyer (abogada) registered with the Málaga Bar Association (no. 8502), an insolvency practitioner (administradora concursal) and insolvency expert. Her practice focuses on company and commercial law, corporate architecture, holding companies, M&A transactions and investment, and she leads all of the firm’s corporate matters.
María Luisa González Domínguez. Lawyer registered with the Málaga Bar Association (no. 8503). She practises banking and family law and advises on tax-banking compliance and civil liability. She brings a banking perspective to transactions and financing, and the family perspective that so often shapes the continuity of a family-owned company.
Jorge Gómez Giganto. Lawyer registered with the Málaga Bar Association (no. 8169). He practises criminal and immigration law and advises on corporate criminal compliance. He brings to the firm the prevention of criminal risks for companies and knowledge of the position of foreign shareholders and managers.
Co-counsel for other law firms
A good part of our work comes from other law firms, in Malaga and in other provinces, that do not practise company law and prefer to instruct a specialist on that side of their matters. We work with them on matters such as:
- Designing corporate structures and holding companies.
- M&A transactions: mergers, acquisitions, share-for-share exchanges and contributions in kind.
- Capital increases and reductions, general meetings and other corporate transactions.
- Shareholders’ agreements and corporate governance.
- Corporate reviews as part of a wider due diligence.
- Coordination with notaries and the Commercial Register in the province of Malaga.
The relationship is built on confidentiality and professional loyalty: the client remains the client of the firm that instructs us. If your firm needs a company law specialist or local counsel in Malaga, you can contact us directly.
